Welcome to hockey.com. These Terms of Service ("Terms") govern your access to and use of the hockey.com website (the "Service") operated by Hockey.com Corporation ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using the Service, you confirm that you are at least 13 years of age and agree to comply with and be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
Hockey.com is currently under development. The Service currently provides an investor inquiry form for those interested in participating in our seed round. Once launched, hockey.com will provide hockey-related content, including scores, stats, news, player profiles, line-ups, and community features across multiple leagues. Features and functionality may change as the platform evolves.
3. Investor Inquiries
By submitting an investor inquiry, you understand that:
- Submitting an inquiry does not guarantee access to investment materials or participation in any funding round
- Information provided on the website does not constitute an offer to sell securities or a solicitation of an offer to buy securities
- We reserve the right to accept or decline any inquiry at our sole discretion
- Your inquiry and any information shared with you is confidential and may not be disclosed without our written consent

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOCKEY.COM CORPORATION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.
11. Changes to Terms
We reserve the right to modify these Terms at any time. Any material changes will be posted on this page with an updated effective date. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms.
12. Termination
We may terminate or suspend your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including intellectual property provisions, warranty disclaimers, and limitations of liability.
13. Indemnification
You agree to indemnify, defend, and hold harmless Hockey.com Corporation, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any content you submit or transmit through the Service. Hockey.com Corporation reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.
14. Dispute Resolution
Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within 30 days, either party agrees to submit the dispute to binding arbitration administered by the ADR Institute of Canada under its Arbitration Rules. The arbitration shall be conducted in Toronto, Ontario, by a single arbitrator appointed in accordance with those rules. The language of the arbitration shall be English. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in the courts of Ontario, Canada to protect its intellectual property rights or confidential information.
You agree that any claim or cause of action arising out of or related to use of the Service must be filed within one year after such claim or cause of action arose, or be forever barred.
15. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the remaining provisions, which shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
16. Force Majeure
We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure failures, pandemics, or other events of force majeure.
